1. Purpose

These Terms of Service (hereinafter "Terms") define the terms and conditions of use of the Clipstack platform (hereinafter "the Platform"), accessible at clipstack.fr and via the Clipstack mobile application distributed on the Apple App Store and Google Play (hereinafter "the Application"), as well as the rights and obligations of its users.

These Terms constitute the end-user license agreement of the Application. They apply to every feature of the Platform, including the messaging service through which users exchange content with each other.

The Platform is operated by Marketech Adv, a simplified joint-stock company with a sole shareholder (SASU), whose registered office is located at 35 Rue Jean Ferrat, 34000 Montpellier, registered with the Montpellier Trade and Companies Register under number 103 370 532.

2. Acceptance of the Terms

Access to and use of the Platform is subject to the acceptance of and compliance with these Terms. By signing up or using the Platform, you acknowledge that you have read, understood and accepted these Terms in their entirety. Acceptance is expressly recorded when the account is created: no account can be created without ticking the box accepting these Terms.

These Terms provide for zero tolerance toward objectionable content and abusive users (see section 8). If you do not accept these rules, you must not use the Platform.

Clipstack reserves the right to modify these Terms at any time. Users will be notified of any changes by notification on the Platform or by email. Continued use of the Platform after modification constitutes acceptance of the new Terms.

3. Definitions

  • Creator: user registered on the Platform who creates and publishes clips on TikTok, YouTube or Instagram based on campaign content.
  • Brand: user registered on the Platform who wishes to promote their content through clips on supported platforms.
  • Agency: user registered on the Platform who manages campaigns on behalf of several brands.
  • Campaign: set of rules and budgets defined by a Brand or Agency to compensate Creators.
  • Clip: short video content created by a Creator from campaign content and published on a platform enabled for the Campaign.
  • Submission: proposal of a Clip by a Creator as part of a Campaign.
  • Messaging: the Platform's communication service (private conversations, groups and contact requests).
  • User Content: any content published by a user on the Platform, in particular messages, voice messages, photos, videos, files, group names, and campaign names, descriptions and briefs.
  • Advertising Credit: prepaid credit purchased by a Brand or Agency and used exclusively on the Platform to fund Campaigns.

4. Registration and user account

Registration on the Platform is free. The user must provide a valid email address and a password, and specify their role (Creator, Brand or Agency).

Registration is reserved for adults (18 years old and over). By signing up, you declare that you are of legal age and have the legal capacity necessary to enter into a contract.

The user may complete their profile by providing their first name, last name, biography and phone number. Phone number verification is done via OTP code.

The user undertakes to provide accurate, complete and up-to-date information. The user is responsible for keeping their login credentials confidential and for any activity carried out from their account.

5. Connection of third-party accounts

5.1 TikTok account

Creators who submit TikTok clips connect their own TikTok account via the OAuth 2.0 protocol. This connection allows Clipstack to access the following information:

  • Basic TikTok profile information (username, avatar)
  • Profile statistics (number of followers, etc.)
  • List of published videos and their statistics (views, likes)

The user may revoke this access at any time from their TikTok account settings.

5.2 YouTube videos

Brands and Agencies may add YouTube videos to their campaigns by providing the video URL. Clipstack automatically retrieves the public metadata of the video (title, thumbnail, duration, channel name) via the YouTube API.

Where enabled, Creators can also connect their own YouTube channel through Google OAuth with the read-only youtube.readonly permission, then select an eligible public Short for a campaign. Clipstack verifies ownership, public visibility, duration and file format through YouTube API Services. Creators publish their videos themselves on YouTube. Clipstack does not upload, download, edit or delete videos on their behalf.

By using Clipstack's YouTube features, you agree to be bound by the YouTube Terms of Service. Our Privacy Policy explains the data accessed and its retention. Google's Privacy Policy also applies to Google's processing.

Submitting a Short authorizes the campaign's Brand and its authorized Agency to view that submission and the associated performance counts. Clipstack's compensation amounts are calculated under the campaign contract and are independent of YouTube revenue. They are not provided or endorsed by Google or YouTube. Counts can be delayed or unavailable.

Disconnecting YouTube revokes Google access and erases the YouTube API data stored for the connection; accounting records and amounts remain separate. Tracking stops. To prevent duplicate compensation after video references are erased, a Creator cannot submit further YouTube videos to a campaign in which their YouTube data has been erased. Erasure in Clipstack does not remove content from YouTube.

5.3 Instagram professional account

Where Instagram is enabled, Creators may connect their own Instagram professional account (Business or Creator) through Instagram Login. Personal Instagram accounts are not supported. The authorization screen explains the requested access before the Creator accepts it.

This connection allows Clipstack to:

  • Identify the connected account and display its profile information
  • List existing Reels so the Creator can select a campaign submission
  • Verify that a submitted Reel belongs to the connected account
  • Retrieve Reel views, likes, comments and shares to display performance and track the view counts used for campaign compensation

The Creator publishes the Reel themselves on Instagram before submitting it to Clipstack. Access tokens remain on the Clipstack server. Creators may disconnect Instagram from their Clipstack profile or revoke access in Instagram settings. Disconnecting clears the stored tokens and stops further collection through that connection; it does not delete previous submissions or statistics. Data deletion requests are described on our Data deletion instructions page.

5.4 Read-only access

Clipstack cannot under any circumstances publish, modify, delete or interact with content on your social media accounts. Access to TikTok and Instagram accounts is strictly limited to reading information (profile, statistics, video list). Clipstack has no write permission on TikTok, YouTube or any other social network belonging to the user. Publishing clips on TikTok or Instagram is carried out exclusively by the user themselves, outside of the Platform.

6. How the Platform works

6.1 For Creators

Creators can browse available campaigns, create clips that comply with each campaign's rules, and submit their clips by selecting a video already published on their connected account, on a platform accepted by the Campaign. Compensation is calculated from the views reported by the platform, subject to campaign rules and submission validation. Statistics may be delayed or unavailable while the platform processes them. If access expires or is revoked, the Creator may need to reconnect to resume tracking.

6.2 For Brands and Agencies

Brands and Agencies can create campaigns by defining a budget, a brief, creation rules and the source videos. The budget is funded with Advertising Credit held in the Platform's wallet system and distributed to Creators based on performance (see section 10).

6.3 Messaging

The Platform includes a messaging service that allows Creators, Brands and Agencies to communicate:

  • Private conversations between a Creator and a Brand or Agency. A Creator's first contact with a Brand or Agency, and a Brand's or Agency's first contact with a Creator it does not already work with, takes the form of a request that the recipient may accept or decline. The number of requests is limited each month.
  • Groups, in particular the group associated with each Campaign, created and managed by Brands and Agencies.
  • Content types: text messages, voice messages, photos, videos, files, campaign cards and reactions. Messages can be edited and deleted by their author.

Messaging is a professional tool intended for campaign-related exchanges. The rules of section 8 apply to every message.

7. User obligations

By using the Platform, you agree to:

  • Provide accurate and up-to-date information when registering and throughout your use of the Platform.
  • Respect the intellectual property rights of third parties, in particular copyright on YouTube videos, TikTok content and Instagram Reels.
  • Not publish illegal, defamatory, insulting, obscene, discriminatory content or content contrary to accepted standards of decency.
  • Not use the Platform for fraudulent, deceptive or abusive purposes, including the artificial manipulation of view statistics.
  • Comply with the specific rules of each Campaign you take part in.
  • Not attempt to gain unauthorized access to the Platform's systems or data.
  • Not impersonate another user or any third party.
  • Comply with the terms of use of TikTok, Instagram and YouTube as part of your use of the Platform.
  • Not use the Messaging for spam, unsolicited advertising, chain messages, or to solicit other users outside the purpose of the Platform.
  • Not collect, publish or share another user's personal data (contact details, address, documents) without their consent.
  • Not attempt to circumvent the automatic filtering, a block or a sanction, in particular by creating a new account.

8. Community rules, prohibited content and moderation

8.1 Zero tolerance

Clipstack applies a zero tolerance policy toward objectionable content and abusive users. The following are strictly prohibited, in messages, voice messages, photos, videos, files, group names, campaign texts and any other User Content:

  • Insults, harassment, intimidation, threats or abuse of other users.
  • Hateful or discriminatory content, in particular on the grounds of origin, religion, sex, sexual orientation, gender identity or disability, and any apology of terrorism or crimes against humanity.
  • Sexually explicit or pornographic content, the promotion of adult content platforms, and any content sexualizing minors, which is reported to the competent authorities.
  • Violent content, incitement to violence, to self-harm or to suicide.
  • The sale or promotion of drugs, weapons or any illegal product or activity.
  • Identity theft, spam, scams or any attempt at fraud.
  • Content infringing third-party intellectual property rights or privacy.
  • Artificial manipulation of metrics (views, likes, followers) through automated or fraudulent means.

8.2 Automatic filtering

Before publication, the text of messages, group names and campaign names, descriptions and briefs is automatically checked against a list of prohibited terms (insults, hate speech, sexual content, threats). Content containing a prohibited term is refused and not published, and the author is told which term caused the refusal so that they can rephrase it. This filtering does not replace reporting: content that is objectionable without containing a listed term remains prohibited and can be reported.

8.3 Reporting

Every user can report a message directly from the Application ("Report" action on the message, with a reason), and any other content or behavior by email at team@clipstack.fr. A reported message is preserved as it was at the time of the report, including its attachments, so that our team can review it even if its author deletes it. The reporter's identity is not disclosed to the reported user.

8.4 Blocking

Every user can block another user, from a conversation or from that user's profile. The block takes effect immediately: the blocked user's messages, reactions and notifications are no longer shown to the user who blocked them, and their new contact requests are no longer received. A block can be lifted at any time from the privacy settings.

8.5 Processing time and measures

Reports are reviewed by our team and processed within a maximum of 24 hours. Where a report is founded, Clipstack removes the content and takes action against the user responsible, up to and including the immediate suspension or termination of their account. The reporter may be informed of the outcome of their report.

8.6 Sanctions

Any user who publishes content in violation of these Terms may have their account suspended or deleted without notice or compensation. Clipstack reserves the right to remove any content it deems inappropriate or contrary to these Terms. Clipstack may report to the competent authorities any content that is manifestly illegal.

8.7 Confidentiality of conversations

Clipstack does not read users' conversations. Our team accesses a message only when it is reported (together with the few messages surrounding it, needed to understand its context), when required by law or a court order, or to protect the security of users and of the Platform. Our Privacy Policy describes how messaging data is processed and retained.

9. Access to device features

The Application may request access to the following features of your device. Each access is requested from you by the operating system the first time it is needed, is used only following your own action, and can be withdrawn at any time in your device settings:

  • Photo gallery / media library: to select images and videos for your profile picture, brand logo, campaign cover images, group images, or to send them in a conversation.
  • Camera: to take a photo or record a video sent in a conversation.
  • Microphone: to record voice messages and the sound of videos recorded from the Application.
  • Files: to select a document sent in a conversation.
  • Notifications: to notify you of new messages and of activity on your campaigns. Notifications can be adjusted per conversation and in the Application settings.
  • Clipboard: to copy share links (campaign or profile URLs) to your clipboard.
  • In-app browser: for TikTok, YouTube and Instagram authentication (OAuth) and to display legal documents, the Application opens a secure browsing session.

The Application does not access your location, contacts or calendar.

10. Advertising Credit, payments and compensation

10.1 Advertising Credit

Marketech Adv acts as a reseller of advertising services. Brands and Agencies purchase prepaid Advertising Credit, which can only be used on the Platform to fund Campaigns and compensate Creators. The commission of Clipstack and the applicable VAT are due upon purchase of the credit and are shown before payment. Payments are processed by our third-party payment service providers; Clipstack never stores your card details.

Advertising Credit is purchased from the Clipstack web platform. The mobile Application does not offer any purchase, subscription or in-app payment. Funding a Campaign from the credit already available in the wallet remains possible in the Application.

For some Campaigns, the Brand or Agency pays Creators directly, outside the Platform. Clipstack then only records the amounts due and the payments declared by the payer, and holds no funds for these Campaigns.

10.2 Creator compensation and withdrawals

Payments are handled through an internal wallet system with a traceable transaction ledger. Creators' earnings are paid out through our third-party payment service providers (such as Whop or Stripe). To receive withdrawals, the Creator completes the identity verification required by the provider and enters their bank details directly with the provider. For Campaigns paid directly by the Brand or Agency, the Creator's bank details are stored encrypted and shown only to the payer, so that it can make the payment.

Any minimum withdrawal amount or withdrawal fee is shown before the Creator confirms the withdrawal. The compensation terms (amounts, validation conditions, payment deadlines) are specified for each Campaign.

The user is solely responsible for their tax and social security obligations related to income received through the Platform. It is their responsibility to declare this income to the competent authorities in accordance with applicable legislation.

11. Intellectual property

The Platform and all of its content (texts, images, logos, software, etc.) are protected by intellectual property rights and belong to Clipstack or its partners.

Users retain ownership of their content. By publishing a clip as part of a campaign, the Creator grants the Brand a non-exclusive, worldwide and free license to use the clip for the duration of the campaign and for the promotion of the Platform.

Each user grants Clipstack a non-exclusive, free license to host, store, reproduce and display their User Content, solely to operate the Platform (in particular to deliver messages to their recipients) and for the time necessary for this purpose. Each user warrants that they hold the rights necessary to publish their User Content.

YouTube videos used as a source remain the property of their respective creators. Brands warrant that they hold the necessary rights on the videos they add to their campaigns.

12. Data storage

Uploaded images (profile pictures, logos, covers) are stored on secure cloud infrastructure (Cloudflare R2). Messaging attachments are stored in private storage and are only accessible to participants of the conversation through temporary links. Authentication relies on a token (JWT) stored locally on your device. No tracking cookies are used.

13. Liability

Clipstack strives to ensure the availability and proper functioning of the Platform, but cannot guarantee permanent availability or the absence of errors.

Clipstack acts as a technical intermediary. The Platform cannot be held liable for content published by users on TikTok, YouTube or Instagram, nor for the performance of clips, nor for any direct or indirect damages resulting from the use or impossibility of using the Platform.

With respect to User Content, Clipstack acts as a hosting provider. Each user is solely responsible for the content they publish and for their exchanges with other users. Clipstack removes promptly any manifestly illegal content brought to its attention, through the reporting mechanism described in section 8 or by email at team@clipstack.fr, which is the Platform's point of contact for users and authorities.

14. Suspension, termination and account deletion

Clipstack reserves the right to suspend or terminate a user's access to the Platform in the event of non-compliance with these Terms, without notice or compensation.

The user may at any time request the deletion of their account from the application settings or by contacting our team at team@clipstack.fr. The in-app deletion option disables the account, removes editable personal profile fields and clears connected social account tokens. Erasure of remaining data can be requested using our Data deletion instructions, subject to applicable legal retention obligations (in particular accounting and financial data kept for 10 years).

In the event of account deletion, any remaining balance on the internal wallet must be withdrawn beforehand or will be paid out to the registered bank account.

15. Mobile application (Apple App Store and Google Play)

The following provisions apply to the Application downloaded from the Apple App Store or Google Play, in addition to the rest of these Terms.

  • Parties: these Terms are concluded between you and Marketech Adv only, and not with Apple Inc. or Google LLC. Marketech Adv, not Apple or Google, is solely responsible for the Application and its content.
  • License: Marketech Adv grants you a personal, limited, non-exclusive and non-transferable license to use the Application on any Apple-branded device or Android device that you own or control, in accordance with the usage rules set out in the Apple Media Services Terms and Conditions or the Google Play Terms of Service.
  • Maintenance and support: Marketech Adv is solely responsible for providing maintenance and support for the Application (see section 16). Apple and Google have no obligation to provide any maintenance or support services.
  • Warranty: in the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, of the Application. The Application is free of charge. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the Application.
  • Product claims: Marketech Adv, not Apple, is responsible for addressing any claim relating to the Application or your possession and use of it, including product liability claims, claims that the Application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.
  • Intellectual property: in the event of any third-party claim that the Application or your possession and use of it infringes that third party's intellectual property rights, Marketech Adv, not Apple, is solely responsible for the investigation, defense, settlement and discharge of such claim.
  • Legal compliance: you represent and warrant that you are not located in a country subject to a United States Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any United States Government list of prohibited or restricted parties.
  • Third-party terms: you must comply with applicable third-party terms of agreement when using the Application, such as those of your wireless data service provider.
  • Third-party beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, Apple will have the right to enforce them against you as a third-party beneficiary.
  • Contact: any question, complaint or claim regarding the Application should be addressed to Marketech Adv, 35 Rue Jean Ferrat, 34000 Montpellier, France, or by email at team@clipstack.fr.

16. Modification of the Terms

Clipstack reserves the right to modify these Terms at any time. Users will be notified of any material changes by notification on the Platform or by email. Continued use after notification constitutes acceptance of the new conditions.

17. Support and assistance

The Platform provides users with an integrated help center, accessible from the "Help center" section of the user profile. This help center allows users to:

  • Create support requests (tickets) for any question related to the use of the Platform, payments, campaigns, account management or any technical issue.
  • Track the status of their requests (open, answered, closed).
  • View responses provided by the Clipstack team and reply to them.

The Clipstack team is committed to processing support requests within a reasonable timeframe. The help center is the preferred communication channel between the user and Clipstack for any assistance request. In addition, users may contact the team by email at team@clipstack.fr.

18. Applicable law and jurisdiction

These Terms are governed by French law. In the event of a dispute, and after an attempt at amicable resolution, the French courts shall have sole jurisdiction.

19. Contact

For any question regarding these Terms, to report content or to contact our moderation team, you may write to us at team@clipstack.fr or by post to Marketech Adv, 35 Rue Jean Ferrat, 34000 Montpellier, France.
